We will discuss issues facing boards whose companies have entered the China market by setting up a new business, establishing a local partnership or through an acquisition there. The distinguished panel will look past the basics of just “doing business in China” and delve into more specific questions facing boards in particular:
- What questions should a board member now be asking the management team?
- What type of due diligence should be undertaken?
- What common risks should be looked out for?
- What are the best ways of handling problems that arise?
- How should the company deal with regulators?
- How do you get comfort around FCPA matters?
- What about cybersecurity?
This panel will offer insights that will benefit directors with experience dealing with operations in China as well as those dealing with China-related issues for the first time.
Our Panel
Ed King is a founding partner of Quintus Partners based in Palo Alto. He has more than 25 years of investment banking experience in the US and Asia. During his career, Ed originated and led many strategic advisory, privatization, financing and restructuring transactions for clients across multiple geographies and industries. Most recently he was executive chairman of global mergers and acquisitions at Barclays based in Menlo Park. Prior to transferring back to the US in 2014, Ed was a managing director and head of Asia Pacific M&A in Hong Kong and a member of the global M&A executive committee at Barclays.
Ruby Lu is the co-founder of DCM China and a general partner. As a board member, she has helped several companies go from small start-ups with just a few founders to large public companies with thousands of employees. She sourced and led DCM’s investments in VanceInfo which later merged with HiSoft to create Pactera, BitAuto and Dangdang. She also serves as independent director of AiKang and DreamSky. Prior to joining DCM, Ruby was a vice president in the technology, media and telecom investment banking group of Goldman Sachs. In combination with her VC tenure, she has raised over $30 billion in financing for technology and telecom companies.
Lily Wu is a private and direct equity investment consultant for various PE funds and companies in either the technology sector or in the greater China region. Clients include the direct investment funds of China Construction Bank, Bank of China, hedge fund TGRA Capital and Hong Kong-listed Phoenitron Ltd. Lily was formerly a top institutional investor and Reuters-ranked equity analyst in the technology sector for Salomon Brothers. She started her career as a semiconductor design engineer after graduating from CalTech with honors in engineering and applied science.

Alan Seem is a corporate partner in the Menlo Park office of Shearman & Sterling LLP. His primary areas of focus are SEC-registered and Rule 144A/Regulation S securities offerings, M&A, venture capital and private equity investments and going-private transactions. Alan also regularly advises companies and their boards of directors regarding corporate governance matters, including SEC/stock exchange compliance and disclosure-related matters. Alan was the former head of Shearman & Sterling’s Asia capital markets group and was the Beijing office managing partner, having worked 16 years in the Hong Kong, Beijing and Shanghai offices.
